Programme Participation and Release Agreement

This Participation and Release Agreement (“Agreement”) is made and entered into between Pan-Atlantic University Foundation, a non-profit educational institution established under Nigerian law operating as Lagos Business School, Pan Atlantic University, with its principal office at Kilometre 22 Lekki-Epe Expressway, Ajah, Lagos State (in such capacity “School” or “LBS”), and the Participant in LBS’ programme (the “Participant”) for itself or their employees who are customers under Nigerian law. The Participant desires to attend the [Programme Name – to be automatically selected by Odoo software] (the “Programme”) organised by the School. In consideration of the Participant’s acceptance into the Programme, the Participant agrees to the following terms and conditions:

1. Participation and Assumption of Risk

The Participant acknowledges that the School’s premises are safe and properly maintained but agrees to assume all ordinary risks inherent in attending or participating in any on-campus or off-site activity. LBS shall not be liable for injury or loss except where such injuries or losses arise from LBS’ gross negligence or wilful misconduct. A Programme is deemed commenced when the Participant arrives at LBS premises, and agrees to abide by all rules, codes of conduct, and schedules established by the School for the Programme.

2. Code of Conduct

The Participant shall conduct themselves in a professional and respectful manner at all times during the Programme. The School has a zero-tolerance policy for harassment of any kind, discrimination, or any form of disruptive behaviour. The School reserves the right to dismiss or suspend any Participant from the Programme and its premises (premises include LBS’ Learning Management System) for violations of this code or any other documented procedures, without refund of any fees paid.

3. Release of Liability and Indemnification

To the fullest extent permitted by Nigerian laws, the Participant releases, waives, and forever discharges the School, its trustees, directors, officers, employees, agents, and affiliates (the “Releasees”) from all claims or damages arising out of or connected with the programme except those resulting from LBS’ proven gross negligence or wilful misconduct. The Participant shall indemnify and hold LBS harmless against any claim (including reasonable attorney’s fees) by third parties arising from the Participant’s acts or breach of this Agreement.

4. Medical Treatment Authorisation

The Participant understands that it is their responsibility to obtain and hereby undertakes to obtain adequate health and travel insurance for the duration of the Programme, including remains repatriation insurance. In the event of a medical emergency, the Participant authorises the school to secure, at the Participant’s own expense, any medical treatment deemed necessary, including hospitalisation and emergency medical transportation, and where possible, to take steps to transfer the Participant to the Participant’s preferred hospital. LBS shall not bear medical or evacuation costs, which remain the Participant’s responsibility. LBS may process relevant health information solely for emergency response and will retain it securely under its Privacy Notice.

5. Use of Image and Likeness

The Participant grants the School irrevocable permission to use their photograph, video image, voice, likeness, and name in any form or media (including digital, print, and social media) for the School’s promotional, educational, and archival purposes, without any compensation or right of prior approval and all such data processing are subject to LBS’ Privacy Policy which is deemed incorporated into this Agreement (the “Privacy Notice”). Provided that the Participants may withdraw consent for future use of their image by written notice to the School. Withdrawal will not affect prior lawful uses.

6. Data Protection and Privacy

The Participant acknowledges that they have provided personal data to the School under the Privacy Notice. The School will process this data in accordance with the Privacy Notice and under the Nigeria Data Protection Act (NDPA) of 2023. The data will be used for the administration of the Programme, communication, and for the School’s legitimate operational interests under the consensual, legitimacy of interest, and contractual necessity framework. The School may share necessary data with programme partners, vendors, or host institutions, subject to confidentiality agreements. Data shall be stored within Nigeria unless adequate safeguards are in place, retained only as long as necessary, and protected through technical and organisational measures.

7. Academic Integrity and Materials

All Programme materials, including case studies, presentations, and digital content, are the intellectual property of the School and its licensors. The Participant agrees not to reproduce, distribute, or share these materials for commercial purposes. The Participant also agrees to uphold the highest standards of academic integrity.

8. Governing Law and Dispute Resolution

Any dispute shall be resolved amicably within 30 days. Failing that, it shall be referred to mediation under the Lagos Multi-Door Courthouse before recourse to the courts of Lagos State.

9.Miscellaneous Provisions

LBS’s total liability to any Participant under this Agreement shall not exceed the total programme fee paid. LBS shall not be liable for indirect, consequential, or incidental damages. If any clause of this Agreement is held invalid, the remainder shall remain in full force. LBS shall not be liable for delay or failure caused by events beyond its reasonable control, including acts of God, strikes, or government actions This Agreement and the School’s Privacy Notice constitute the entire understanding between the Parties regarding participation in the Programme

Acknowledgement of Understanding

By signing below or continuing with the use of LBS’ services, the Participant confirms that they have read this Agreement, fully understood its terms, and voluntarily agreed to be bound by them. The Participant understands they are giving up substantial rights, including the right to sue the Releasees.
